a red camaro please



Mijn collega Hendrik Jan Tuch zond het onderstaande verhaal naar zijn Engelse en Nederlandse collega's:
"Good morning, i would like to buy a red camaro please."
"Sure, i have one right here."
"Cool, is it any good?"
"Well, my nephew thinks so and he is pretty good with cars."
"Great, how much is it?"
"5,000 just for you"
"Super, i will buy it"
"Done, would you like coffee while i wrap up the paperwork?"

Now it might seem weird looking back, but thats how the average investor bought cdo's and other structured products at the peak of the credit bubble. You have probably noticed the total absence of questions on the quality of the car. Not how old it is, the mileage, maintenance records or even a quick peak under the bonnet. All the buyer wanted to know that it was a red camaro.

Now suppose you are a used car salesman. And you have all these customers coming to your garage for a red camaro. Actually there is a line of clients from your door to around the block, all demanding a red camaro. And all (good) camaros are sold. What do you do? First you call all your buddies about a camaro and of course they are all sold out too. Running out of options and eying the line of clients you then call your cousin Vinnie who owns a junk yard on the other side of town. He has quite a few camaros, old and tattered and of course any colour but red. But Vinnie has an idea, why dont we spray the cars red, slap some nice tires on them and see if that helps. Well, it certainly works, clients happy, Vinnie happy, your boss happy.

After a couple of months you get calls from disgruntled clients. Complaints about mileage, run down engines and failing brakes. But you can point out to these clients that you made no representation on any of these factors and none of the clients ever asked about these details. Ok, you mentioned that your nephew liked it and that he is "pretty good with cars". Of course you failed to mention that your nephew is just three years old and that he likes to throw and/or eat his dinky toy cars and that he is pretty good at that. But hey, the clients did not bother to ckeck the credentials of the nephew either.


At that point most clients hang up the phone ashamed and not willing to go to court. On the one hand, they know they have been had. But at the same time they know they themselves are to blame, as they went to a second car salesman without doing their research or wondering where all these red camaros suddenly came from. A few clients are more stubborn than that and they decide to drag the car salesman to court. This will be a publicity nightmare for the salesman, but in the end new clients will come in once again, this time asking for a toyota prius. The clients will have a horrible time in court, as the judge and the press discovers that all these wealthy clients have spent their money so unwisely.

So my view on the Goldman Sachs case is very similar to the proverbial used car salesman. Formally neither Goldman Sachs nor the used car salesman did anything wrong. If the client doesn’t WANT to know anything about the car/cdo, why bother about mentioning the details yourself.

It will spook the markets for some time and might be the spoiler of a great earnings season. And it might even result in more regulation, of which the net result for the markets remains to be seen. Remember, next time we will have clients clamouring for a toyota prius!

Conclusie HJT en anderen: professionele sufferds (daar zijn er veel van) moeten niet te hard gaan huilen voor hun domme beleggingsbeslissingen. GS gaat het proces niet verliezen, op zijn slechtst gaan ze schikken.
CDO beleggingen waren per definitie voor professionals en als je niet wist wat je aan het doen was dan verdiende je het geschoren te worden. Als je toen aandelen Citicorp en masse had verkocht als hedge fund en GS was je broker, dan is het toch duidelijk dat GS niets verkeerd deed, ook al was duidelijk dat het hedge fund vermoedelijk aan het langste eind zou trekken. Waarom dan wel voor CDO’s?
Conclusie anderen: GS onthield de (professionele) belegger van essentiële informatie, GS handelde niet in het belang van zijn klanten, gaf aan dat de klant niet voorop stond. GS hoort op de vingers getikt te worden.

Mijn gedachten: GS moet inderdaad op de vingers getikt worden, maar gaat het proces vermoedelijk niet verliezen, men gaat schikken. Het thema blijft nog een hele tijd doorsudderen omdat er meer financiële regulering moet komen en de SEC niet snel op gaat geven. Van tijd tot tijd zal men met nieuwe argumenten komen. De besmetting zal vermoedelijk niet heel groot worden, omdat men in 2007 de handel in CDO's niet had kunnen verbieden. Die handel was zwaar verliezend voor de kopers, maar niet illegaal. Je kunt waarschijnlijk daarvoor niet iedereen aan het kruis nagelen. Amerika moet het hebben van zijn ondernemingszin, van innovaties en daar horen financiële innovaties zeker ook bij. In tegenstelling tot Nelie Kroes wil men in Amerika de financiële kippen die de gouden eieren leggen niet slachten.

A Difficult Path in Goldman Case

Disclosure of material information. Daar draait het om. GS zegt dat op moment van emissie van de CDO (zo fraai door het FD omschreven vandaag als en credit default obligatie) men alleen wilde weten wat voor soort hypotheken het waren en wat de ratings waren. GS zegt dat het hun uit hoofde van privacy zelfs verboden was om te melden dat Paulson er achter zat.
De SEC is nu de definitie aan het veranderen wat belangrijke info is, maar daar zijn bedrijven als GS moeilijk op te veroordelen. Het is achteraf natuurlijk eenvoudig te zeggen dat het feit dat Paulson hier achter zat enorm belangrijke informatie was, maar op moment van creatie van de CDO was Paulson nog niet zo belangrijk. De consensus was toen dat huizenprijzen in de VS als totaal in een inflatoire tijd niet substantieel konden dalen. Dat Paulson daar terecht anders over dacht, was niet de fout van GS.
De beurzen gingen gisteren omhoog toen bekend werd dat men bij de SEC slechts met 3-2 had voorgestemd om GS aan de schandpaal te nagelen. Volgens Bianco zegt dat weinig over de kansen van GS, maar de markt ziet het als bevestiging dat het proces vooral politiek is en bedoeld om andere zaken voor elkaar te krijgen.
